Memorandum of Business Cooperation and Operational Protocol

This document serves as a foundation for cooperation between
eBalkan Real Estate Agency (hereinafter referred to as the Agency)
and the Promoter/Agent
(hereinafter referred to as the Promoter).
Cooperation is activated individually for each property within the system.

1. PURPOSE AND BUSINESS LOGIC

The purpose of this agreement is to clearly define roles in the property sales process in order to avoid misunderstandings.
The sales process is divided into 5 phases, where phases 2 and 5 are exclusive to the Agency,
while earnings (net commission) for other activities are shared proportionally based on participation:

1 Finding the Seller 10% A property owner is identified who accepts a 3% commission and all required data for the website is submitted.
2 Website Listing
Agency Only
30% The property is published on the website and Facebook, and the owner confirms the accuracy of the data.
3 Finding the Buyer 30% A real and interested buyer (lead) is identified.
4 Communication (Mediation) 15% Negotiations are conducted and the company’s interests are protected to prevent losing the buyer after introduction.
5 Administration and Legal Process
Agency and/or Notary Only
15% All legal procedures are completed and payment is received by the Agency.

2. OPERATIONAL PROCESS (STEP BY STEP)

1: Client Registration (Seller)

Before registering a new client, the Promoter is REQUIRED to check in the CRM
whether the client has already been registered by another promoter. Duplicate entries are not allowed.
If the client is available, the Promoter registers them under their name.

2: Property Registration

After client registration, the CRM provides an option to add a new property next to the client’s name.
By clicking this option, the property is automatically linked with
the owner, the promoter, and the authorized agent,
ensuring clear tracking of who initiated the process.

3: Listing and Marketing

After data entry, the Agency Administrator takes over to improve the quality of the listing:

  • Photo processing and creation of 360° virtual tours (video)
  • Content preparation for website, Facebook, Instagram, and WhatsApp Business model
  • Additional promotional materials as needed

4: Buyer Registration as Private Information

The Promoter registers real buyer data in the CRM. Since this is sensitive and valuable information,
the following rules apply:

  • Privacy: This data is hidden from other Promoters. Access is limited to the Administrator/Editor and the Promoter who identified the buyer.
  • Anonymization option: The Promoter may hide the buyer’s name and phone number but must provide accurate specifications (location, property type).
  • Coordination: Based on these specifications, the Administrator will match suitable properties from the Agency or partner databases.

3. OWNERSHIP OF INFORMATION AND TIMEFRAMES

  • Property Ownership (10%): The Promoter who registers the property is considered the “owner” of that process.
  • Inactivity Phase: If no activity is recorded in the CRM for more than 12 months, the share for this phase is reduced to 5% (Adjustment Phase).
  • Expiration: After 18 months of inactivity, ownership of the process transfers to the Agency.
  • Priority: If two buyers appear simultaneously, slight priority is given to the buyer introduced by the Promoter who registered the property.

4. AGENCY OBLIGATIONS AND OWNERSHIP

The Agency is the sole legal owner of the platform and the company. Participation in sales does not imply ownership of the platform.

The Agency commits to:

  • Coordinating all participants and developing digital services
  • Covering costs of company registration, legal obligations, office space, and employment
  • Managing backend administrative processes (total 45% weight – phases 2 and 5)
  • Maintaining exclusive rights over phases 2 and 5

5. FINANCIAL RULES AND PAYMENTS

  • Payment: Executed only after the Agency receives full payment for the completed transaction.
  • Calculation: Taxes and legal obligations are deducted first from the gross commission, after which the net amount is distributed.
  • Fairness: If multiple participants contribute to the same phase, the Administrator determines shares based on transparent CRM records.

6. TERMINATION AND COMPANY PROTECTION

Cooperation is automatically terminated, with loss of commission rights, in the following cases:

  • Bypassing the Agency: If the Promoter connects buyer and seller outside the company system
  • Misuse of information: Using database information for personal gain or for other agencies
  • Unethical conduct: Intentionally harming colleagues or the Agency
